This document is offer an electronic form for you to conclude this intents agreement (hereinafter – the Agreement) of acquisition participation in the Mercatox.com Project, through the acquisition of digital signs "MERCA", thought appropriate payment (crypto currency – bitcoin) for realization of this Agreement between You and the mercatox.com Service (hereinafter – the Service).
The Agreement in an electronic arrangement form between You and the Service and its acceptance is legal fact of conducting agreement relations between You and Service according to this Agreement.
The offer acceptance of this Agreement concluding is “Confirm” button at the moment of reading of this Agreement.
This electronic Agreement is equal to the written form Agreement on the legal force and signed by You and the Service.
- GENERAL PROVISIONS
- This Agreement is aimed to regulate the relationship between You and the Service during the Mercatox.com Project realization and the acquisition "MERCA" digital signs by you further Your acquisition as Mercatox.com Project participant status.
- If you shall accept this Agreement You ensure that you have necessary legal rights extent to conclude this agreement and to receive with "MERCA" digital signs certain rights extent in the Mercatox.com Project framework.
- The Service shall notify You, and you shall accept and shall agree that digital "MERCA" signs are not securities (shares) and current legislation in the securities turnover regulation field shall not be applicable to relations that arise between You and the Service during concluding this Agreement process.
- If You conclude this Agreement, You shall warrant that you have read in the full extent with this Agreement conditions, conditions of Mercatox.com Project participation, Mercatox.com Project development conditions and shall accept all risks that may arise as a result of this Agreement conclusion.
- This Agreement acceptance is your direct, free, informed decision and You shall understand and accept the fact that this Agreement acceptance is the basis for the acquisition by You certain rights and obligations relates the Service.
- If You conclude this Agreement You shall become the Mercatox.com Project member and shall be eligible to receive certain benefits (including financial) after the final Mercatox.com Project start (after realization), extent of which depends on the number of "MERCA" digital signs you purchased.
- You shall accept condition that acquired "MERCA" digital signs for your personal use (during Mercatox.com Project realization).
- PROJECT DESCRIPTION
- The Mercatox.com Project purpose is to create platform with purpose of its development, operation and services provision in providing operations field with virtual and crypto currency specified at the next address – https://mercatox.com/crowdsale.
- The conditions, extents and "MERCA" digital signs acquisition procedure are regulated at the next address – https://mercatox.com/faq/crowdsale.
- The Mercatox.com Project shall be virtual platform on the Internet, in which framework users shall be offered certain extent of services for electronic transactions and other crypto currency types, including exchange operations, sales, crediting, etc.
- Exchange, sale and other operations with "MERCA".
- "MERCA" digital sign shall not be an action or any other kind of security provided by the current legislation, but shall be only virtual form of Your participation right in the Mercatox.com Project and your ownership of relevant rights and obligations within the Mercatox.com Project framework.
- PATICIPATION CONDITIONS
- To become Mercatox.com Project member, You shall perform the next steps:
1.1. To register in the Service;
1.2. To read and accept this Agreement conditions and other documents and rules that regulate the service functioning and Mercatox.com Project realization;
1.3. To provide the Service all requested personal and other data that shall be required to enroll you in the Service as the Mercatox.com Project participant.
1.4. To perform actions for "MERCA" digital signs acquisition in the extent and in order according to this Agreement conditions and rules posted at the address – https://mercatox.com/faq/crowdsale.
1.5 Not to execute actions that may impact negatively for the Mercatox.com Project realization.
- After the end of collecting stage for the Mercatox.com (shares sales of crowdfunding company) realization, between the Project participants shall be shared agreed goods extents (rights), depending on the amount purchased by each user of "MERCA" digital signs in proportion to its participation.
- Owner of the “MERCA” sign shall have the right to receive monthly percentage of net profit platform according to the “MERCA” number that being in its possession.
- "MERCA" digital sign is not crypto currency type, but it is separate Mercatox.com Project unit.
- You can become Mercatox.com Project participant within the deadline till 20/12/2016
- CONFIDENTIALITY
- The service executes all actions extent, which warrants information safety about You as the Mercatox.com Project participant.
- The service is not guarantor of non-proliferation and non-disclosure information about Your Project Mercatox.com participation, "MERCA" digital signs extent ownership, etc.
- FORCE MAJEURE
- The Service shall not be liable for partial or full non-execution of bindings of this Agreement if such non-execution has been as a result of force majeure that occurred after start of services granting with aid of the Service, in the issue of circumstances acting of irresistible power that parties couldn’t to foresee or to prevent.
- To force majeure parties relate the next events, making execution of agreement bindings by applicable party impossible
- SETTLEMENT OF DISPUTES.
- The parties should resolve all claims and disputes, which may arise from this terms of use or in connection herewith, by means of negotiations.
- Claims or disputes that the parties are unable to settle by negotiation should be referred to the Court of the principal place of business of the Service.
- OTHER CONDITIONS
- This Agreement determinates cooperation conditions of Users and the Service at the stage of the Mercatox.com Project realization and development. This Agreement shall not regulate the Mercatox.com Project functioning order.
- You agree and certify that this agreement is not a guarantee from the platform about successful project implementation.
- This Agreement and the Project information and its organizers shall not be confidential information. This information is completely open and public, and is available on the Internet on the Project site.
